User Indemnification of GDL

Changes to Website

GDL may temporarily or permanently, change or discontinue any component or feature of the Website at any time without further notice. Furthermore, we may without notice to the applicable user terminate individual Community Pages that have not been active for more than thirty(30) days, but have no obligation to do so. You agree that GDL shall not be liable to you or to any third party for any modification, discontinuance or suspension of any component or feature of the Website.

Limitation of Liability

In no event will GDL  be liable for indirect, direct, punitive, incidental or consequential damages (including without limitation those resulting from lost profits, lost data or business interruption) that arise from the results of use or inability to use of the website, whether such damages are grounded on contract, warranty, tort or any other legal theory whether and whether or not GDL  has been advised of the possibility of such damages. The aggregate liability of GDL , arising from or relating to the website (regardless of any form of claim or action, e.g. contract, warranty, negligence, tort, strict liability, or any other legal theory) is limited to $10 (10 USD). GDL ’s partners, affiliates and providers have no liability whatsoever arising from the website. Applicable law might not allow certain of the limitations described above in some locations, in which case such limitations may not apply to you.

General

The T&C and the resolution of any dispute associated to the T&C or the Website will be governed by and construed in accordance with the laws of the State of New York. You shall bring any lawful action or proceeding against GDL  related to the Website exclusively in a state or federal court of competent jurisdiction situated in New York, and you agree to submit to the exclusive and personal jurisdiction of the courts. If we found any provision(s) of the T&C is to be against the law, then such provision(s) will be construed to reflect the intentions of the parties as nearly as possible with the other provisions remaining in full force and effect. GDL ’s failure to exercise or enforce any right or provision of the T&C will not constitute a waiver of such right or provision unless acknowledged and agreed to by GDL  in writing. These T&C constitute the entire agreement between you and GDL  with respect to the subject matter herein and supersede any and all contemporaneous or prior written or oral agreements. You may not assign this agreement to any other party and any attempt to do so is void.
